Introduction

If you’re a broker or investor, creating a professional offering memorandum or broker opinion of value can make or break your deal presentation.

An OM or a BOV isn’t just a brochure. It’s your first impression. A professional, nice, data-driven OM or BOV builds trust with your clients. A messy one, on the other hand, signals that you’re disorganized and reduces your chances of securing new business.


What a Great OM or BOV Should Include

Every great OM should have at least six basic components.


Component 1: Cover Page

The first component is your cover page with the property photo, address, name of the property, and your branding.


Component 2: Executive Summary

The second component is your executive summary.

This is where you include key property and deal information such as price, price per unit, various return metrics, year built, and other key property information.

You can also include a description of the property together with highlights. Usually, as part of the executive summary, we also include additional property photos and perhaps photos of the area.


Component 3: Financial Summary

The third component is your financials, or at least your financial summary.

This should include at least two snapshots of the property. It should include the current financial snapshot of the property as well as the proforma financial snapshot of the property.

We can include operating proforma projections, price scenarios, and the assumptions used to construct the proforma financials for the property.


Component 4: Market Insights and Comps

After the financial section, we include market insights and comps.

It’s very important to include sales comps and rent comps.

Sales comps support our pricing by showing that we didn’t guess the price. Instead, we used full market insights and comparable properties that have traded or sold in the market to determine pricing on a price-per-square-foot or price-per-unit basis.

We also include rent comps because rent comps provide the insights needed to create the proforma financial snapshot, particularly to determine realistic market rents for the property.


Component 5: Market and Location Overview

The fifth component is the market or location overview.

Location is extremely important to investors, so the more detail we can include, the more professional we look.

This section can include demographics, trends, population growth, major employers, and other demographically significant data for the market.


Component 6: Team and Marketing Section (BOV Only)

If this is a BOV, there is an additional section that focuses on our team and marketing strategy.

This section explains why a potential client should work with us and why they will find success when they decide to work with our team.

It usually includes pages about the team, track record, and highlights of successful deals completed recently.


Component 7: Contact Page

The final component, or the seventh component for a BOV, is the contact page.

This page should include your contact information and make it easy for clients to reach out.


How to Build an OM or BOV

Now that we’ve covered what a great OM or BOV should contain, it’s time to discuss how to build one.

First, we gather key property information, financials, and property photos.

Next, we conduct market research to determine rent comps, sales comps, and market-level data such as demographics and trends.

Once we’ve gathered all this information, we can start building the OM or BOV.
